1. General Information

1.1 Scope

All offers, services, and deliveries provided by The Textile Lab Ltd (“we”, “us”, “our”) are exclusively subject to these General Terms and Conditions. These terms become part of the contract upon acceptance of our offer or service and also apply to all future business dealings, even if not explicitly referenced.

We expressly exclude the application of any conflicting or supplementary terms and conditions of the customer.

1.2 Stock and Availability

All items regularly stocked in our warehouse are listed in our current price list.

1.3 Discontinued Items

Products listed as discontinued items are no longer produced once existing warehouse stock is depleted. Please enquire about current availability. Discontinued items are marked “O” in the product list.

1.4 Trade Outlet

Our trade outlet offers sale items. Returns are not accepted for products listed under “discontinued items.” Ordered items may have a minor quantity variance of up to ±10%. In such cases, pricing will be adjusted accordingly, and customers will be charged only for the actual quantity delivered.

1.5 Orders

When placing orders, please specify the article name, colourway, number of pieces, and length required. We aim to process orders promptly. If immediate delivery is not possible, we will issue an order confirmation with the expected delivery date. To expedite processing, please provide your customer number. The customer must check the order confirmation upon receipt for accuracy and completeness. If the customer does not object within 5 working days, the order confirmation is considered binding. For special or discontinued items not part of our current collection, we reserve the right to request an advance payment of up to 50% of the order value. Such orders cannot be cancelled.

1.6 Pattern Repeat and Fabric Widths

Variations in pattern repeat and fabric width of up to 3% are considered standard and do not justify complaints.

1.7 Patterned Fabrics

Articles marked “RD” (repeating design) can only be supplied in full repeat lengths.

1.8 Fabric Composition

Fabric composition is listed in percentages. Explanations of textile symbols are provided in accordance with UK labelling regulations. Weights are approximate.

1.9 Shrinkage and Tolerance

Due to factors like air humidity and care processes, fabrics may shrink or stretch. Customers should allow for shrinkage when sewing hems or making fitted covers. Typical shrinkage/elongation reference values are: synthetics 2%, silk 1–3%, cotton 1–4%, viscose 3–5%, linen 5–7%. These are approximate only and do not establish grounds for complaint.

1.10 Care Instructions

Each article includes care instructions either on a label or in our product directory.


2. Delivery and Payment Terms

2.1 Prices

Trade prices are stated net of VAT; recommended retail prices include VAT at the applicable rate. Prices are as per the current price list. Orders below £60.00 will incur a £5.00 handling surcharge.

2.2 Receipts

Receipts will be sent by email unless otherwise requested. These are binding, and the customer is responsible for ensuring proper documentation.

2.3 Delivery and Transport

Delivery costs are borne by the customer. Goods are shipped at the customer’s risk from the point they leave our warehouse. We may agree on binding delivery dates in writing, but we accept no liability for delays caused by force majeure events. We may make partial deliveries. Invoice deductions for packaging are not permitted. Delivery terms are ex works unless otherwise agreed in writing.

2.4 Acceptance and Default

If the customer fails to accept delivery on time, we may set an additional period (usually 12 days) for acceptance. After this period, we may charge damages or cancel the contract. If we miss a non-binding delivery date, the customer must set a reasonable written grace period of at least 14 days before exercising any right to cancel. For delays caused by force majeure or other circumstances beyond our control, delivery times may be extended. We are not responsible for supplier delays.

2.5 Returns and Complaints

Goods must be inspected immediately upon receipt. Complaints must be notified in writing within 5 days of delivery. Defects discovered later must be reported immediately. Once goods have been cut or processed, we cannot accept complaints. Minor deviations in quality, colour, or finish that are standard in the industry do not constitute defects. For legitimate complaints, we may repair or replace the item. Other claims are excluded.

2.6 Warranty

We warrant that goods are free from material defects for 12 months from delivery, in accordance with the Sale of Goods Act 1979. Liability for normal wear and tear or misuse is excluded.

2.7 Liability

We are liable only for intentional or gross negligence, or where liability is mandatory under the Consumer Protection Act 1987. For slight negligence, our liability is limited to foreseeable damages typical of this contract type. This limitation applies to employees and representatives.


3. Retention of Title

We retain ownership of all goods delivered until full payment is received. If goods are combined with others, we retain joint ownership proportionate to their value. The customer may resell the goods in the ordinary course of business but assigns any resulting claims to us as security. Pledges or assignments are prohibited. Customers must notify us of any third-party claims on the goods.


4. Payment Terms

Payment is due within 30 days from the invoice date. We may require a deposit of up to 50% for large or special orders. Late payments may incur interest at 4% above the Bank of England base rate. Offsetting or withholding payment is only permitted for undisputed or legally established claims.


5. Governing Law and Jurisdiction

These terms are governed by the laws of England and Wales. The place of performance is London, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.


6. Miscellaneous

If any provision is held to be invalid, the remaining provisions remain effective. Any invalid provision will be replaced by a valid one that comes closest to the intended economic purpose.
